1. Scope of Services & Term

• Services: The Influencer shall provide creative content (posts, images, videos, livestreams) as required by MopayShop.

• Term: The agreement includes an initial term (Initial Term) and may be extended by MopayShop (Renewal Term).

• Quality requirements: Content must be original (no copying), of equal or higher quality than the Influencer’s previous content, and compliant with applicable laws.

2. Intellectual Property Rights (Extremely Important)

• Ownership of content: All content (Influencer Content) created by the Influencer during the collaboration shall be the exclusive property of MopayShop. The Influencer is deemed a “work-for-hire” creator and irrevocably assigns all intellectual property rights to MopayShop worldwide in perpetuity.

• Personal rights: The Influencer grants MopayShop the right to use their name, voice, image, biography, and likeness for marketing and promotional purposes free of charge.

• Use of brand: The Influencer may only use MopayShop’s name, logo, or branding with prior written consent and solely for the purpose of performing the services.

3. Content & Conduct Regulations

The Influencer MUST NOT:

• Make statements that are harmful, defamatory, or damaging to the reputation of MopayShop or its related parties.

• Publish content that violates regulations, including inappropriate language, racism, counterfeit goods, gambling, tobacco, or explicit/obscene content.

• Subcontract the work to any third party without MopayShop’s prior approval.

4. Compensation & Taxes

• Service fees: Inclusive of all costs, licensing fees, and applicable taxes (VAT, personal income tax, etc.).

• Payment: Via bank transfer. MopayShop reserves the right to withhold disputed amounts or offset debts if the Influencer owes the platform.

• Records: MopayShop’s records shall be the final and sole basis for calculating compensation.

5. Termination

• Breach: Either party may terminate immediately if the other party commits a material breach and fails to remedy it within 14 days.

• Platform rights: MopayShop may terminate the agreement without cause by giving 7 days’ prior notice.

• Refund: If the agreement is terminated due to the Influencer’s fault, the Influencer must refund any fees received for incomplete or unsatisfactory services.
